This　paper　examines　the　relationships　between　governance　structure　of　university　with　university　entrepreneurship.　The　sample　of　this　empirical　analysis　contains　113　universities　in　China.　The　result　suggests　that　administrative　power　of　governance　structure　of　university　has　a　positive　effect　on　knowledge　innovation　and　university　entrepreneurship,　academic　power　and　college　power　also　have　a　positive　effect　on　knowledge　innovation,　knowledge　innovation　has　intermediary　role　between　administrative　power　and　university　entrepreneurship.
